Customer Compliance Statement

In order to minimize potential business risks and damages to all parties in the transaction arising from violations of export control laws or sanctions, I/We and all affiliated companies (hereinafter collectively referred to as “I”) confirm and agree that the products subject to export controls of the country of origin, which I have purchased or will purchase from LCSC Electronics Technology (HK) Limited or its subsidiaries or affiliates (collectively referred to as “LCSC”), must meet the following compliance conditions:

1. I understand that the products are subject to export restrictions related to certain destinations, end-uses, and end-users outside of China. I agree to comply with the applicable export compliance laws and regulations of the United Nations (U.N.), the United States (U.S.), the European Union (EU), and any other relevant countries/regions.

2. Unless approved or licensed for export by the appropriate government authority, I will not transfer (including direct or indirect use, export, re-export, or sale, etc.) any products obtained from LCSC to any embargoed or sanctioned country/region, jurisdiction, person, enterprise, organization, or entity. I confirm that all of my current customers are not included in: (1) the U.S. Treasury Department’s Specially Designated Nationals List (“SDN”), or entities in which individuals or entities on the SDN own more than 50% of the shares; or (2) the U.S. Department of Commerce’s Denied Persons List.

3. I warrant and covenant that: (a) I am not owned or controlled by any SDN entity, nor will I act on behalf of or for the benefit of any SDN entity in transactions with LCSC; and (b) no SDN entity will be involved in any transactions with LCSC.

4. I warrant and covenant that the products I obtain from LCSC will not be used for chemical, biological, or nuclear weapons; rocket systems (including ballistic missile systems, military space launchers, or sounding rockets); unmanned aerial vehicles (UAVs) capable of delivering chemical, biological, or nuclear weapons; or the development of weapons of mass destruction. The products will not be used for internal repression, human rights violations, or any other end-uses prohibited by applicable laws.

5. Non-EAR99 products obtained from LCSC will not be used for the manufacture of advanced computing integrated circuits, computer commodities containing such integrated circuits, or semiconductor manufacturing items as described in Sections 740.2, 740.10, 742.6, 744.23, and Supplement No.1 to Part 744 of the EAR.

6. I covenant and will ensure that neither I/my company nor the end-users will directly or indirectly use the products supplied by LCSC for the following purposes:

a) “Development” or “production” of advanced process chips in Macau and D:5 group countries/regions;

b) “Development” or “production” of non-advanced process chips in Macau and D:5 group countries/regions, where the same building is also engaged in the “development” or “production” of advanced process chips;

c) “Development” or “production” in Macau and D:5 group countries/regions of any “parts,” “components,” or “equipment” described under ECCN 3B001, 3B002, 3B090, 3B611, 3B991, or 3B992 in the U.S. Commerce Control List (CCL).

7. I covenant and will ensure that neither I/my company nor the end-users will directly or indirectly use the products supplied by LCSC for any of the following end-uses:

a) Designing, “developing,” “producing,” operating, installing (including on-site installation), maintaining (Checking), repairing, refurbishing, or overhauling a “supercomputer” located in or destined for Macau and D:5 group countries/regions; or

b) Incorporating the products into parts, components, or equipment used in such “supercomputers,” or for the “development” or “production” of such parts, components, or equipment.

8. I will not export or re-export LCSC’s products to Russia, Belarus, Russian-occupied regions of Ukraine, Iran, Syria, Cuba, Iraq, North Korea, Myanmar, Cambodia, Venezuela, Sudan, or other embargoed or highly restricted countries/regions.

9. To comply with export control laws and regulations, when LCSC requires me to provide import/export information and supporting documents related to the purchased products, I agree to provide them.

10. If any circumstances arise that cause changes to the above statements or prevent me from continuing to comply with the above commitments, I will immediately notify LCSC in writing.

11. I understand and confirm that continuing to submit orders with LCSC represents my understanding of and agreement to comply with the contents of this Compliance Statement Letter. Any violation of the above commitments may result in order cancellation.

12. This Compliance Statement is valid for all completed or future orders until further notice or renewal.
